1. Introduction

Welcome to Ark Flow, a product by Arkreach Private Limited. These Terms of Service ("Terms") govern your use of the Ark Flow platform, including any associated websites, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Definitions

"Arkreach", "we", "us", or "our" refers to Arkreach Private Limited, the company that owns and operates Ark Flow.
"User", "you", or "your" refers to any individual or entity that uses the Service.
"Content" refers to any data, information, images, videos, text, or other materials that are uploaded, created, or otherwise processed through the Service.

To use certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payments

Ark Flow offers various subscription tiers with different features and pricing. By subscribing to a paid tier, you agree to pay the applicable fees as they become due. All payments are non-refundable except as expressly provided in our Refund Policy or as required by applicable law. We may change our fees at any time, but will provide reasonable notice before any changes take effect.

5. Credits System

Ark Flow uses a credit-based system for certain operations. Credits are consumed when you use specific features of the Service. The number of credits required for each operation is clearly displayed before you initiate the operation. Unused credits may roll over according to our credit policy, which may be updated from time to time.

6. User Content

You retain all rights to your Content. By uploading Content to the Service, you grant Arkreach a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display your Content solely for the purpose of providing the Service to you. You represent and warrant that you have all rights necessary to grant these rights to us and that your Content does not violate any laws or infringe any third-party rights.

7. Prohibited Uses

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Create, upload, or distribute harmful, offensive, or illegal content
Attempt to gain unauthorized access to the Service or other users' accounts

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by Arkreach and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

IN NO EVENT SHALL ARKREACH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Arkreach, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

13. Governing Law

These Terms shall be governed by the laws of India without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
